Service Description

RespondPal.ai, operated by RespondPal, LLC, provides an AI-powered lead response system ("the Service") that automatically responds to inbound customer inquiries on behalf of subscribing businesses. The Service is provided on a rental basis — clients rent access to the system and do not purchase or own any underlying technology.

Eligibility and Account

By using RespondPal, you represent that you are a business owner or authorized representative of a business entity. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

Fees and Billing

• One-time Activation Fee: $499, due upon signing before activation begins
• Monthly Service Fee: $997/month, first charge on Agent go-live date, billed automatically via Stripe on the same date each month thereafter
• No prorated refunds for early cancellation or unused periods

Intellectual Property

All technology, workflows, AI configurations, Twilio numbers, Make.com templates, and related systems are and remain the exclusive property of RespondPal, LLC. Clients are granted a limited, non-transferable license to use the Service during the active term. This license terminates immediately upon cancellation or non-payment.

Cancellation

Either party may cancel the Service at any time with written notice to hello@respondpal.ai. Upon cancellation, the Service remains active through the last day of the current paid billing period. All agent components, phone numbers, and configurations revert to RespondPal, LLC upon termination.

Acceptable Use

You agree not to use RespondPal to:

• Send unsolicited messages or spam to individuals who have not requested contact
• Impersonate any person or business you are not authorized to represent
• Violate any applicable law, including telemarketing and consumer protection regulations
• Engage in any activity that could damage, disable, or impair the Service

Disclaimer of Warranties

RespondPal is provided 'as is' without warranties of any kind. We do not guarantee specific lead volumes, conversion rates, or business outcomes. Results depend on your business, market, pricing, and other factors outside our control.

Limitation of Liability

RespondPal, LLC's total liability under these Terms shall not exceed the total amount paid by you in the 30 days immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

Service Area Exclusivity

For the duration of an active service agreement and while payments are current, Provider agrees not to activate a RespondPal agent for another business in the same primary industry within a 15-mile radius of the Client's declared primary business address.

• Exclusivity applies to the Client's declared primary industry only
• Exclusivity terminates immediately upon cancellation, non-payment, or material breach by Client
• Upon termination, Provider is free to activate agents for other businesses within the former Exclusivity Zone
• Client's primary business address must be declared at time of activation

Governing Law

These Terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved through binding arbitration or in the applicable courts of Wyoming.

Changes to Terms

We reserve the right to update these Terms at any time. Active clients will be notified of material changes via email with at least 14 days notice before the changes take effect.
